    This End User License Agreement ("Agreement") governs the use of Cresearch Datalabs' datasets, solutions, and services ("Solution") provided through the Databricks Marketplace ("Marketplace"). By accessing, downloading, installing, or using the Solution, you ("Customer") agree to comply with these Terms.

    1. License Grant

    Cresearch Datalabs grants you a non-exclusive, non-transferable, limited license to access and use the Solution solely for internal business purposes in connection with Databricks.

    1.1 Restrictions

    • You may not reverse engineer, modify, copy, or distribute the Solution.
    • Access credentials may not be shared or sublicensed.
    • Use of the Solution for unlawful purposes is strictly prohibited.
    • Competitive analysis or development of competing products is not allowed.

    2. Ownership & Intellectual Property

    All rights, title, and interest in the Solution remain with Cresearch Datalabs and its licensors. No rights are granted beyond this Agreement.

    3. Data Usage & Privacy

    By using the Solution, you may provide certain data that is processed per our Privacy Policy.

    3.1 Usage Analytics

    We may collect aggregated, anonymized usage data to improve services. No personally identifiable data is collected without consent.

    4. Fees & Payment

    • Pricing details are listed in the Marketplace.
    • Payments are processed through Databricks.
    • Fees are non-refundable unless otherwise stated.

    5. Term & Termination

    5.1 Term

    This Agreement remains in effect until terminated by either party.

    5.2 Termination

    • Cresearch Datalabs may terminate access for violations of these Terms.
    • Termination may also occur if required by law or due to service discontinuation.
    • Upon termination, the Customer must stop using and delete all copies of the Solution.

    6. Warranty Disclaimer

    The Solution is provided "AS IS" without warranties of any kind, including merchantability, fitness for a particular purpose, or non-infringement.

    7. Liability Limitation

    • Cresearch Datalabs is not liable for indirect, incidental, or consequential damages.
    • Data loss, business interruption, or financial losses are not covered.
    • Liability shall not exceed the amount paid by the Customer in the past 12 months.

    8. Compliance with Laws

    Customers must comply with applicable laws, including GDPR, TDPSA, and data protection regulations.

    9. Updates & Modifications

    We may update this Agreement at any time. Continued use after updates constitutes acceptance.

    10. Governing Law & Dispute Resolution

    This Agreement is governed by the laws of Texas, USA. Disputes shall be resolved through binding arbitration in Texas unless otherwise required by law.
